Virgin Galactic Securities

Against Virgin Galactic Holdings, Inc.; Michael A. Colglazier; George Whitesides; Doug Ahrens; Jon Campagna

Virgin Galactic and its executives allegedly misled investors about the commercial spaceflight program. Purchasers of SPCE (or pre-merger IPOA) common stock between July 10, 2019 and August 4, 2022 share an $8.5 million fund pro rata by recognized loss — claims due August 13, 2026.

About this settlement

Lavin v. Virgin Galactic Holdings, Inc. (E.D.N.Y., No. 1:21-cv-03070) alleged false and misleading statements about Virgin Galactic's spaceflight program and vehicle readiness; the defendants deny wrongdoing. The $8,500,000 all-cash fund pays purchasers of Virgin Galactic (SPCE) and pre-merger Social Capital Hedosophia (IPOA) common stock from July 10, 2019 through August 4, 2022 a pro-rata share of their Recognized Loss under the plan of allocation — purchases from July 12 – September 2, 2021 ('Active Claims') carry most of the fund's weight (88.2%), with earlier and later purchases sharing the rest. You must have held through at least one corrective disclosure to have a recognized loss; units and warrants are not eligible; payments under $10 are not distributed. Broker records (trade confirmations or statements) document the claim. File online by 11:59 p.m. ET August 13, 2026 — mailed claims have their recognized loss reduced by the greater of $5 or 1%, so online is strictly better. ClaimBridge readies the trade documentation so your registration takes minutes. What you can claim: a pro-rata share of an $8,500,000 fund, and when you bought matters enormously. The administrator estimates about $0.075 per damaged share for stock acquired between July 12 and September 2, 2021 — the "active claims" — against roughly $0.0012 per damaged share for the periods the Court dismissed. Recognized Loss for shares bought and sold in the class period is the lesser of the drop in price inflation between your purchase and sale dates or your actual out-of-pocket difference; for shares still held it runs against $6.76, the closing price on the last corrective disclosure date. Nothing is paid where the prorated payment is under $10.00 — and filing on paper rather than electronically cuts your Recognized Loss by the greater of $5 or 1%.
